Account Responsibilities

You agree to (a) provide accurate, current, and complete information about you as may be prompted by any registration forms on the Site; (b) maintain the security of your password and identification; (c) maintain and promptly update the registration information, and any other information you provide to Cospace, to keep it accurate, current, and complete; and (d) accept all risks of unauthorized access to the information and any other information you provide to Cospace.

Use of the Services

License

Subject to your compliance with these Terms, Cospace grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own personal, non-commercial use.

Prohibited Conduct

You agree not to:

• Use the Services for any illegal or unauthorized purpose;
• Modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Services;
• Use any robot, spider, site search/retrieval application, or other automated device, process, or means to access, retrieve, scrape, or index any portion of the Services;

• Attempt to interfere with or compromise the system integrity or security or decipher any transmissions to or from the servers running the Services;

By posting User Content to the Services, you grant Cospace a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable, perpetual, and irrevocable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Services and Cospace's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels.

The Services, including all content, visual interfaces, interactive features, information, graphics, design, compilation, computer code, products, software, services, and all other elements of the Services provided by Cospace are protected by copyright, trademark, patent, and other intellectual property or proprietary rights laws. All materials contained on the Site are the property of Cospace or its subsidiaries or affiliated companies and/or third-party licensors. All trademarks, service marks, and trade names are proprietary to Cospace or its affiliates and/or third-party licensors.

Privacy

Our Privacy Policy explains how we collect, use, and disclose information that pertains to your privacy. The Privacy Policy forms part of these Terms. By using the Services, you agree to our collection, use, and disclosure of personal data as described in the Privacy Policy.

Termination

Termination by You

You may terminate your Account at any time by contacting us at [email protected]. Upon termination, you must cease all use of the Services and delete any copies of Cospace materials in your possession.

Termination by Us

We may terminate or suspend your Account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.

Effect of Termination

Upon termination of your Account, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimers and Limitation of Liability

Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Cospace does not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services are free of viruses or other harmful components.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Cospace, its affiliates, directors, employees, or its licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; and (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

Indemnity

You agree to defend, indemnify and hold harmless Cospace and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Services, including any data or content transmitted or received by you; (b) your violation of any term of these Terms, including without limitation your breach of any of the representations and warranties above; (c) your violation of any third-party right, including without limitation any right of privacy or intellectual property rights; (d) your violation of any applicable law, rule, or regulation; (e) User Content, or any content that is submitted via your Account including without limitation misleading, false, or inaccurate information; (f) your gross negligence or willful misconduct; or (g) any other party's access and use of the Services with your unique username, password, or other appropriate security code.

Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed and construed in accordance with the laws of Bulgaria, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be finally settled by arbitration in accordance with the rules of the International Chamber of Commerce. The place of arbitration shall be Sofia, Bulgaria. The language of the arbitration shall be English.

Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new terms, please stop using the Services.

Miscellaneous

Entire Agreement

These Terms constitute the entire agreement between you and us regarding our Services and supersede and replace any prior agreements we might have had between us regarding the Services.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Cospace's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
